
Terms of Service

Welcome to BridgePoint Advisors Business Consultancy Services (“we,” “our,” “us”). By engaging our services, you (“Client”) agree to the following Terms of Service, which govern the provision of our business registration, bookkeeping, tax preparation, and advisory services in the Philippines.
1. Scope of Services
We provide non-attest professional services, which may include:

Business registration assistance with DTI, SEC, CDA, LGUs, and BIR

Bookkeeping and maintenance of financial records

Preparation and filing of tax returns and government compliance forms
-
Payroll documentation and basic reporting (if applicable)

General tax planning and business advisory
Exclusions:

We do not provide audit, attestation, or legal services.

We do not represent clients in legal proceedings or act as legal counsel.
2. Client Responsibilities
The Client agrees to:

Provide complete, accurate, and timely information necessary for service delivery.

Submit supporting documents (IDs, permits, receipts, contracts, etc.) as required.

Maintain responsibility for the accuracy of information submitted.

Comply with deadlines communicated by our team to avoid penalties from government agencies.
3. Fees and Payment Terms

Service fees will be disclosed in advance and agreed upon in writing.

All fees are exclusive of government charges, filing fees, and third-party costs, which remain the Client’s responsibility.

Tax Preparation & Compliance service fees include the cost of accounting/tax filing software.
-
Bookkeeping software subscriptions (e.g., QuickBooks Online) and other connected applications are not included in service fees and will be billed separately or paid directly by the Client.

Payments are due upon receipt of invoice, unless otherwise agreed in writing.

Late payments may result in suspension of services until settled.
4. Confidentiality and Data Privacy

We maintain the confidentiality of all Client information in accordance with the Philippine Data Privacy Act of 2012 (RA 10173) and our Privacy Policy.

Personal and financial information will not be shared with third parties except as required for government filings or by law.

Clients may review our Privacy Policy for full details of data handling.
5. Limitation of Liability

While we exercise due care in delivering services, we are not liable for penalties, interest, or damages arising from:

Delays or inaccuracies caused by incomplete, false, or late information provided by the Client

Non-compliance resulting from Client’s failure to act on our recommendations or notices
-
System downtime or errors from third-party platforms (e.g., BIR eFPS, SEC eSPARC, Taxumo, QuickBooks, etc.)

6. Professional Indemnity
We may carry Professional Indemnity Insurance to protect both the Client and our firm in cases of negligence or errors. This coverage does not extend to situations caused by the Client’s own actions or omissions.
7. Termination of Engagement

Either party may terminate the engagement with written notice.

In the event of early termination, any remaining agreed fees shall become immediately due.

Completed work and government filings up to the termination date will be delivered to the Client.
8. Governing Law
These Terms of Service are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the proper courts of [Insert City].
